Terms of Use

These Terms of Use ("Terms") govern your access to and use of the CielChan website and the CielChan desktop application (collectively, the "Software"), published by Elushis Music & Gaming. By downloading, installing, or using the Software, you agree to these Terms. If you do not agree, do not use the Software.

1. License

CielChan is proprietary software. Upon purchase of CielChan Plus (or download of the free version), you are granted a personal, non-exclusive, non-transferable license to install and use the Software on your own device for personal, non-commercial purposes. You may not redistribute, resell, sublicense, reverse-engineer, or create derivative works from the Software.

2. One-time purchase — no subscriptions

CielChan Plus is sold as a one-time purchase. There are no recurring subscription fees. Your license is perpetual and does not expire. Access may be revoked only in the case of a verified fraudulent purchase, chargeback, or payment dispute.

3. Software provided "as is"

The Software is provided on an "as is" and "as available" basis without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the Software will be error-free, uninterrupted, or meet your specific requirements.

4. No responsibility for AI outputs

CielChan includes artificial intelligence and language model capabilities that run entirely on your own hardware. These AI systems may generate outputs that are inaccurate, unexpected, or unsuitable for your situation. You acknowledge and agree that:

• All AI outputs are generated locally on your device without any oversight or moderation by Elushis Music & Gaming.
• We have no visibility into, access to, or responsibility for any conversations or outputs produced within the application.
• AI outputs should not be relied upon as professional, medical, legal, or financial advice.
• You are solely responsible for how you use and interpret any output from the Software.

5. Assumption of risk

You assume all risks associated with using the Software and any actions you take based on its outputs. You are solely responsible for evaluating the suitability of the Software for your intended use and for complying with all applicable laws and regulations in your jurisdiction.

6. Limitation of liability

To the maximum extent permitted by applicable law, Elushis Music & Gaming, its affiliates, and contributors shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of data, profits, or goodwill, arising out of or in connection with your use of (or inability to use) the Software, even if advised of the possibility of such damages. Our total liability for any claim shall not exceed the amount you paid for the Software, or US$10 if no payment was made.

7. Third-party components

The Software may include or reference third-party libraries, AI models, voice systems, or tools (such as ElevenLabs, Kokoro TTS, or VRM-compatible assets). We are not responsible for the availability, accuracy, or terms of any third-party components. Your use of such components is subject to their respective licenses and terms.

8. Refund policy

Because CielChan Plus is a digital software product with immediate access granted upon purchase, all sales are final. We do not offer refunds except where required by applicable consumer protection law. If you experience a technical issue preventing you from using the Software, contact us at gaming@elushis.com and we will do our best to help.

9. Updates and changes

We may update, modify, or add features to the Software at any time. We are not obligated to provide specific updates, but we intend to continue improving CielChan over time. We may also update these Terms; changes will be posted on this page with a revised date. Continued use of the Software after updates constitutes acceptance of the revised Terms.

10. Governing law

These Terms are governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes arising out of these Terms shall be resolved in good faith. Where required, the laws of the jurisdiction in which Elushis Music & Gaming operates shall apply.
